鉴于
甲方是中国医药集团（以下简称“国药集团”）的下属企业，在进出口贸易、项目招投标、医疗援外服务等业务领域拥有强大的政府资源、丰厚的操作经验和雄厚的资金实力。
乙方是中国医疗器械领域领先的生产企业，拥有先进的自主知识产权，提供的产品质量稳定、达到国内领先水平、具有良好的性能价格比，并且可以提供完善的售后服务。
甲乙双方经过友好协商，就甲方协助乙方出口医疗器械、共同开拓国际市场事宜，达成以下条款,以资双方共同遵守:
一、约定合作产品描述
乙方按照其生产许可证许可范围自行生产（或者组装）的医疗器械货物及其组件、配件（以下简称“货物”）。
二、约定合作范围和方式 甲方利用自身优势，通过为乙方国外经销商提供商业信用的方式，协助乙方开拓国外市场。从操作层面看，甲方以国内贸易的方式从乙方采购货物，以甲方名义向乙方国外经销商销售，负责出口的各项业务操作；乙方负责对其国外经销商的管理、货物在国外的售后服务等工作。
三、操作流程
对于乙方接收的国外经销商发送的采购订单，乙方有权自主决定是否纳入本合作协议合作范围；若乙方决定某个订单与甲方在本协议项下进行合作，则按下述流程操作。
1、乙方与国外经销商确定买卖意向（比如接到国外订单）并确定外贸合同（以下简称“合同”）内容后，即委托甲方办理出口交货事宜；如果甲方同意介入此项业务操作，则开展实际出口订单执行；

3、甲方收到乙方货物后，按照乙方与其国外经销商确定的贸易条件以甲方自身名义出口给乙方国外经销商，如果甲方合作服务费率全部由国外经销商承担，则甲方和国外经销商间的出口价格=出口原值X（1+甲方合作服务费率）；如果甲方合作服务费率由乙方和国外经销商共同承担,则出口价格=出口原值X（1+国外经销商承担的甲方服务费率）。甲方负责办理该订单的对外出口贸易操作、收汇、核销等具体工作；
4、货物正常报关后的10个工作日内，甲方向乙方支付采购货值相应比例的金额作为首批货款(以下简称“首付款”)；首付款比例根据保险公司对具体的出口国评级后的赔付比率做相应调整，通常在70%-85%之间。
5、如果国外经销商能够按照约定时间支付货款，则对于剩余的采购货值的相应金额（以下简称“剩余货款”），在甲方收到国外经销商全额出口价款并收到乙方开具的符合要求的增值税票后的3个工作日内，由甲方一次性支付给乙方；如果国外经销商不能及时支付货款，则由甲乙双方商定具体处理方式。
四、出口的支付方式和合作服务费率 1、出口合同的支付方式为赊账（OA）、承兑交单（D/A）或者付款交单（D/P）或者信用证(L/C)等，付款期限以实际合同、订单之规定为准。
2、甲方合作服务费包括甲方出口制单等操作商务服务费、出口信用保险费和资金占用费等。甲方会根据乙方或者国外经销商要求得到的融资时间的长短不同、国外经销商公司所在国家的级别不同以及具体要求合作的出口金额大小不同等因素的不同做出合理的服务费率报价。甲乙双方在签署每个实际订单时根据情况商议实际每笔订单的合作服务费率。
3、甲乙双方在本协议项下合作的每笔订单，以出口原值为基数计算乙方和国外经销商应向甲方支付的合作服务费，以出口的提单日作为计算乙方国外经销商的应回款日起始点。
4、关于征信资费。本次框架协议签署后，乙方可以免费提交两个客户的征信申请，第三个客户开始，甲方向乙方收取1000元人民币/个（以被征信客户名称数量为准）的征信手续费，如果该征信最终在随后半年内的合作中被用于实际成交业务，形成实单，实单的成交总金额大于或等于10万美元，则在该笔合同完全完成后，甲方将对该客户的征信手续费在10个工作日内退还给乙方或者由乙方决定是否暂时保留在我司，方便

5、每笔订单的各次国内采购结算均参照同一汇率，该汇率以该订单项下首批货物出口报关单当日中国银行公布的相应远期外汇买入价确定，先行进行国内采购合同计算和起草以及签约。但甲方实际收汇之日的银行外汇结算汇率一旦与国内采购合同预测结算的该汇率上下浮动超过1%时，浮动部分汇率所造成的采购金额差价将会直接用于双方合作的下一笔订单的采购成本中采取多还少补的原则进行处理；如汇率的浮动低于1%，则双方默认同意承担该笔订单项下的国内采购的结算汇率的浮动风险。
五、双方权利和义务： (一)、甲方的权利和义务：
1、甲方负责办理对外出口贸易操作、物流、收汇、核销等各项具体工作。 2、如因乙方交货环节原因导致出口费用产生额外费用，则甲方可以先行垫付。甲方按照实际垫付的金额，向乙方另行收取该笔费用，或者直接在下一笔双方合作的订单中做相应的采购成本扣减处理。
3、甲方负责办理出口退税相关操作。甲、乙双方的国内采购合同中的出口退税率以签订合同时点预测的出口报关之日的增值税出口退税率为准。但在每笔订单双方合作过程中的任何时点，甲方都不承担出口的任何产品的出口退税率变动的风险，即该出口退税率的预测只作为计算国内采购合同总金额之用。每笔订单的操作过程中，由于出口退税率变动所造成的采购金额差价将会直接用于双方合作的下一笔订单的采购成本中采取多还少补的原则进行处理。
4、甲方负责向中国出口信用保险公司（以下简称：“中信保”）进行投保，如果因国外经销商原因导致的付款不正常，甲方拥有通过向中信保申请索赔以减小损失的权利。
5、如果因甲方原因引起国外经销商未正常付款，不论是否申请中信保赔付或中信保是否给予赔付，甲方必须按照前述流程正常支付乙方货款，并承担相关责任和由此产生的各项费用。
6、除非履行本协议项下义务之必须，甲方不得与乙方国外经销商建立任何业务联系；尤其不得与乙方国外经销商直接或间接建立与乙方业务范围相冲突的关系，除非有乙方事先的书面许可。
7、甲方与乙方国外经销商签订的合同内容由乙方与其国外经销商具体商定，未经乙方事先的书面同意，甲方不得对该合同内容进行任何改变，包括但不限于修改、调整、删除或补充。 （二）、乙方的权利和义务：
1、乙方负责联系国外经销商、备货、协助发货等前期事宜。 2、乙方负责保证订单的商业安全性、可操作性，在订单付款期到期前15个自然日，乙方应负责协助甲方向国外经销商通过合法有效途径进行催款。
3、乙方负责供应合格货物，提供货物售后安装、人员培训、维修保修等售后服务荼，负责处理因货物和服务等原因引起的国外经销商的索赔、退货等事宜，并承担相应的费用。

5、如果遇有国外经销商因其自身原因不能正常回款时，甲乙双方协商处理办法，如果乙方考虑维护客户关系不愿向中信保申请赔付，则由乙方承担国外经销商不正常回款给甲方带来的所有相关损失；如果乙方同意向中信保申请赔付，则乙方应提供全部资料来协助甲方理赔。
六、违约处理 ：
1、国外经销商未能按合同规定及时、足额向甲方支付货款，且超过中信保规定的宽限期，则甲方应与乙方沟通及时申请理赔，乙方有义务提供相应的支持（包括但不限于停止接受国外经销商其它订单，停止其维修服务和停止向其发送货物使用密码等）。
2、在国外经销商未能按合同规定及时、足额向甲方支付货款的前提下，如果乙方基于维护国外经销商的考虑不同意甲方申请中信保理赔，则对于逾期90个自然日内的国外经销商逾期支付行为，甲乙双方可协商延长付款期。但在此情况下，从该合同规定的最后付款日之次日开始，对于延迟支付的货款按照每天万分之五的标准计算资金占用费；此项费用由甲方直接从甲方应付乙方的剩余货款中扣除，直至尾款被全部扣完或者甲乙双方决定向中信保申请理赔，如尾款没有被全部扣完，甲方则需支付给乙方扣减应收资金占用费的剩余部分货款。
如果甲乙双方未能就延长付款期达成一致，或国外经销商明确表示不予付款，或国外经销商在延长付款期满仍未足额支付货款的，甲方有权直接向中信保申请理赔。
